1. General
1.1 Acceptance and scope of the general terms and conditions
These general terms and conditions apply exclusively to all contractual relationships between AULA design, its partners and suppliers on the one hand and the customer on the other. Any provisions deviating from these terms and conditions will not be recognized unless they have been confirmed in writing by AULA design. On our part, silence about the customer’s conditions does not count as recognition or approval of the customer’s terms and conditions. With the registration (registration and login) the customer accepts the present general terms and conditions for the use of the directgoods platform in their current version. The general terms and conditions also apply if the customer uses the directgoods platform or parts thereof from other websites that allow full or partial access to the directgoods platform. They also determine the basic principles that apply to the use of all marketplace websites operated by AULA design. An integral part of these general terms and conditions for the purchase of offers on the directgoods platform is also the “disclaimer" (disclaimer).
1.2 Registration
Before the customer can purchase an offer on the directgoods platform for the first time, he must register as a member on one of the AULA design websites (www.directgoods.eu and the additional domain extensions .de, .at, .ch). Registration is free. For registration, the customer must truthfully and completely fill out the corresponding registration form with the required information such as name, address, telephone number, email address and password. The registration of a legal person may only be carried out by an authorized natural person who must be named. The customer is assigned his email address as a user name. The password must be kept secret by the customer and may not be disclosed to third parties; the customer can change his password on the directgoods platform at any time. Username and password may only be used by the registered customer and are not transferable. If the information provided by the customer changes after registration, the customer is obliged to correct the information in his member account immediately. After successful registration, the customer will receive an email confirmation. The member account is not transferable.
To cancel an existing member account, the customer must send an email to office@directgoods.eu with the instruction to delete the account. The account will then be deleted within 14 days including all data, provided that there are no longer any liabilities or current orders that require the customer data to be available further. After the last transactions have been completed, the account will then be deleted if desired.
1.3 Conclusion of contract
The customer’s contractual partner for the purchased products is exclusively AULA design. The presentation of goods by the suppliers on the directgoods platform merely represents an invitation to submit an offer and not a binding offer to the customer. By submitting the order, the customer submits a binding offer to conclude a purchase contract with AULA design. The automatically generated order confirmation email does not represent acceptance of the offer, but merely documents that the order has been forwarded to the supplier. The decision as to whether an order will be forwarded is at the discretion of AULA design. If there is a reasonable suspicion of an erroneous order or even fraudulent deception, AULA design reserves the right not to forward individual orders to the supplier. If the order process is checked positively, the order will be forwarded to the supplier or suppliers. A confirmation of purchase is prepared by the supplier and sent to AULA design. AULA design collects the confirmations and forwards them to the customer in a purchase confirmation, thereby confirming the acceptance of the purchase offer. If, contrary to expectations, a supplier cannot fulfill an order, the customer receives an immediate notification. A contract for the unavailable goods is not concluded. In this case, AULA design reserves the right to inform the customer of an alternative product from the same or a similar supplier. A purchase contract is only concluded if the customer is at least 18 years old and fully legally competent and able to act without restrictions.
1.4 Subsidiary agreements
Subsidiary agreements as well as any other kind of promises require written confirmation in any case.
2. Scope of services
The scope of performance of the deliveries is determined by the supplier’s written, binding confirmation of purchase. This purchase confirmation lists all available articles in quantity, unit price, total price and delivery period.
3. Cancellation policy
3.1 Right of withdrawal
The customer can cancel his binding offer within 14 days without giving reasons in text form (e.g. letter, email) or – if the item is left to him before the deadline – by returning the item within 14 days after receipt. To meet the cancellation deadline, it is sufficient to send the cancellation in accordance with the reverse processing form on the directgoods platform, or by email to: info@directgoods.ch The cancellation period begins after receipt of this instruction in text form, but not before receipt of the goods by the recipient (for the recurring delivery similar goods not before receipt of the first partial delivery) and also not before fulfilling our information obligations in accordance with Article 246 § 2 in conjunction with § 1 Paragraph 1 and 2 EGBGB, but not before the purchase contract has become binding for him through the approval of the item purchased by the customer is. 3.2 Consequences of cancellation
In the event of an effective cancellation, the contract concluded with the customer is canceled and the services received by both parties are to be reimbursed and any benefits (e.g. interest) that have been drawn must be surrendered. If the customer cannot reimburse the received service or only partially or only in a deteriorated condition, he must pay compensation. This does not apply to the transfer of items if the deterioration of the item can only be attributed to its inspection – as the customer would have been able to do in a retail store. Goods that can be sent as parcels are to be returned to AULA design at the expense of the return slip. The return of goods that can be sent by parcel is free of charge for the customer. The customer must independently bring the shipment to a DHL shipping station. In the case of goods that cannot be sent as parcels, the customer must fill out the reverse processing form and pack the goods properly. AULA design will handle the reverse processing. In cooperation with the supplier, the goods are then picked up by the transport company from the customer. Obligations to reimburse payments must be fulfilled within 30 days. The period begins with the sending of the cancellation or the item by the customer and for AULA design with the receipt of the written cancellation. In the event of a return due to a defect (defective or damaged goods), the customer will be offered a free exchange of the defective goods or can return them free of charge and thus withdraw from the purchase contract. If goods that cannot be sent as a parcel are returned due to dissatisfaction, AULA design is free to charge a reimbursement of costs for the return transport to the customer or to deduct this from the payment already made by the customer upon reimbursement. If AULA design knows the customer’s account details, the order value will be credited to the bank account within 30 (thirty) days, otherwise the order value will be credited to the customer account within 14 (fourteen) days. The customer is obliged to pack the goods appropriately for the return. The right to cancel the contract exists regardless of the warranty claims.
4. Availability / security with the directgoods platform
AULA design strives to make the directgoods platform available 24 hours a day, seven days a week without any obligation to do so. AULA design assumes no responsibility and gives no guarantee that the functions of the directgoods platform are continuously available or that the directgoods platform or the respective server is free of viruses or other harmful components. AULA design is entitled to interrupt or restrict the availability in whole or in part at any time if it deems it appropriate for important reasons such as malfunctions, for maintenance purposes or in the event of misuse. When developing the directgoods platform, special emphasis was placed on security. The customer acknowledges that despite all efforts, AULA design and the use of the most modern techniques and safety standards, an absolute security and freedom from errors of the used systems and procedures cannot be guaranteed. AULA design reserves the right to introduce other security elements or to authenticate the customer in another form. The credit card information is transmitted via a secure server. AULA design uses the latest available security technology, which encrypts the customer’s personal and credit card information. The encryption method corresponds to the industrial standard technology “Secure Socket Layer" (SSL). The AULA design servers are also protected against unauthorized access at all times by appropriate firewalls.
5. Customer’s duty of care
The customer is responsible to AULA design for any use by third parties and for the content of the information that he or third parties transmit or have processed via the directgoods platform. The customer is particularly obliged to ensure that the security elements and the password are kept secret and are protected against misuse by unauthorized persons. The customer is generally liable for all activities that are carried out on the directgoods platform using his access data. If the customer is demonstrably not responsible for the misuse of his access authorization because there is no breach of due diligence, the customer is not liable. The customer is obliged not to misuse the directgoods platform and to respect the applicable laws and all third party rights. In the event of a breach of these obligations, AULA design reserves the right to temporarily or permanently block the customer’s access to the directgoods platform. The customer has to compensate AULA design for the damage arising from such breaches of duty or to fully indemnify them against any claims by third parties.
6. Warranty / liability of the supplier
AULA design is not liable for the offers of third parties available on the directgoods platform and cannot accept any liability for the topicality, correctness and / or quality of the offers. The providers offer their offers on their own responsibility and in accordance with the AULA design conditions. Complaints regarding the offers or the fulfillment of the service provided by the provider must be reported by the customer via the AULA design platform. Possibly. Damages, transport defects, material or manufacturing defects must be reported to the provider (supplier) in writing within two (2) weeks of receipt of the goods via the directgoods platform.
7. Prices and payment modalities
The prices stated at the time of the order apply. All prices include the legally applicable sales tax of the respective country of destination (delivery address). The payment of the goods takes place optionally according to the payment methods suggested in the ordering process under the conditions specified there. AULA design reserves the right to exclude certain payment methods, depending on the result of checking customer data (identity and credit check). The usual payment methods are: bank transfer (prepayment), credit card or PayPal. AULA design offers the “DirectPay" service to ensure that customers pay the purchase price. The entire purchase price is paid to Direct Goods Handels AG, which transfers part of the purchase price directly to the supplier and retains part until the ordered goods are delivered free to the customer (curbside for bulky goods). In the event of non-delivery by the supplier, the customer will be reimbursed the entire purchase price by AULA design within seven working days. After delivery of the order by the supplier, a reimbursement of the purchase price once paid by AULA design is excluded, unless the case of revocation comes into effect here (Section 3.) In this case, the customer is directly responsible for any reimbursement of the purchase price to be reported via the complaint form on the directgoods platform. The further processing of the case is then carried out by AULA design together with the respective provider.
8. Liability AULA design
AULA design is liable to the customer for damage caused by their deliberate and grossly negligent behavior. For the rest, any liability within the legally permissible framework is excluded, unless the terms and conditions provide for liability.
9. Retention of title
The goods ordered remain the property of the supplier until the purchase price has been transferred in full to the supplier, which is made after the customer has received the goods. As long as the customer is obliged to treat the reserved goods and all materials supplied with care.
10. Addition of auxiliary persons / third companies
AULA design is entitled to involve and commission any third parties in Germany and abroad to provide its services on the directgoods platform, in particular for the delivery of goods ordered on the directgoods platform. Such third parties are obliged by AULA design to keep all customer data that might come to their attention strictly confidential.
11. Data protection
When handling data, AULA design complies with the applicable legislation, in particular with the Swiss Federal Data Protection Act and the associated regulation. Only data is collected, stored and processed that are required for the fulfillment of the contractual obligations, for the maintenance of the customer relationship and for the guarantee of a high quality of service in operation and infrastructure. The customer acknowledges and expressly agrees that AULA design is entitled to process data that is collected about the customer when using the directgoods platform with the purpose that the supplier provides the customer with further products and services that he might be interested in can offer on the directgoods platform. AULA design can also make the data available to other directgoods Group companies in Germany and abroad for processing or for the development and offering by AULA design that may be of interest to the customer. The data generated by AULA design will not be passed on to third parties outside the directgoods group (subject to Section 10).
12. Entry into force and contract duration
Membership of the directgoods platform is generally unlimited and can be terminated by the customer as well as by AULA design at any time and without notice in writing (email is sufficient). In the event of termination, the customer’s access to the directgoods platform will definitely be blocked.
13. Contract changes
AULA design reserves the right to adapt these terms and conditions as well as the other contractual provisions at any time. By using the directgoods platform, the customer also acknowledges the validity and applicability of the currently valid general terms and conditions. Changes to these terms and conditions will be communicated to the customer in writing, by email. If the customer does not object to the changes within 4 (four) weeks after receipt of the notification, the changes are deemed accepted. The customer will be informed of the right of objection and the legal consequences of silence separately by email in the event of changes to the terms and conditions.
14. Delivery
14.1 Delivery methods
Larger pieces of furniture are delivered by furniture forwarding. In the case of larger pieces of furniture that are dispatched by a freight forwarder, the customer will be contacted in advance by phone or in the event of unavailability, in order to make an appointment. A 2-man professional team brings the goods to the customer’s home and, if the goods are not dismantled, will also take care of the disposal of the packaging.
It is the responsibility of the customer to provide information about special features of the driveway or access to the apartment that could hinder the supplier team during delivery. The customer is also responsible for measuring the access routes to his home and confirming to the carrier that the goods can be delivered.

14.3. delivery time
The customer will be informed of the expected delivery time in the order confirmation by email. In the event of changes to the delivery schedule, the new delivery time will be updated in the customer’s account under “My directgoods". The customer will be informed by phone or email in the event of a significant change in the delivery time.
14.4. Absence on the delivery date
In the event of the absence of the customer during the agreed delivery date or the impossibility of delivery due to insufficient information or the impossibility of access that was not communicated in advance by the customer, directgoods reserves the right to charge new or additional shipping charges. If the customer fails to pay these additional or additional shipping costs, directgoods is not obliged to deliver again.
14.5. Change of delivery address
The customer must notify the change of the delivery address confirmed at the time of the order as quickly as possible. Changes to the delivery address that are communicated less than seven days before the planned delivery date may not be taken into account, as short-term changes cannot be recorded by the forwarding party. Changes to the delivery address that are made after the products have been handed over directly to the shipping company / supplier will under no circumstances be accepted.
14.6. delivery times

14.7. Force majeure
AULA has delivery and service delays due to force majeure and events that make delivery significantly more difficult or temporarily impossible – this includes in particular strikes, lockouts, official orders, etc., even if they occur with suppliers of directgoods or its subcontractors design is not responsible even for bindingly agreed deadlines and dates. In these cases, AULA design is entitled to postpone the delivery or service for the duration of the impediment plus a reasonable start-up time.
14.8. liability
The limitation of liability according to the previous paragraph does not apply if the delay is due to intent or gross negligence, if damage to life, limb or health is involved or if a fixed deal was agreed.
15. Transfer of rights and obligations
The customer may not transfer his access data to the directgoods platform to other people. AULA design can transfer the rights and obligations from the contractual relationship to another company inside or outside AULA design without the prior consent of the customer.
16. No offer
The directgoods platform is not intended for persons who are subject to a place of jurisdiction that prohibits access to the directgoods platform or the purchase of products or services offered on the directgoods platform due to the nationality of the person concerned, their place of residence or for other reasons. Persons who are subject to such restrictions are not permitted to access the directgoods platform.
17. Copyright and trademark
The entire content of the website, including text, graphics, photos, images, moving images, sounds, illustrations and software is the property of AULA design or that of related companies, licensees, suppliers, partners and / or content providers. This content is protected by copyright and other rights. Their use is only permitted with the express consent of AULA design. The directgoods emoticons and the directgoods logo may not be used without the prior written consent of AULA design. In the event of violations, AULA design reserves the right to assert the damage in court.
18. Applicable law and place of jurisdiction
This contract is exclusively subject to Austrian law, excluding the United Nations Convention on Contracts for the International Sale of Goods of April 11, 1980. This applies both to the direct application of this convention and to the case that the convention is substantive based on other international contract law Represents Austrian law. The place of jurisdiction is Graz. AULA design also has the right to sue the customer at the competent court of his place of residence / domicile or at any other competent court.
